Welcome to US Locksmith & Supply ("US Locksmith & Supply," "Company," "we," "us," or "our").
US Locksmith & Supply operates as a Business-to-Business (B2B) wholesale supplier of automotive locksmith products, keys, remotes, transponders, key blades, locksmith tools, diagnostic equipment, programming devices, key-cutting equipment, accessories, and related products.
These Master Terms, Conditions & Store Policies (the "Terms") govern your access to our website, your creation or use of a dealer account, and all purchases from US Locksmith & Supply. Our Shipping Policy, Return & Refund Policy, and Privacy Policy are incorporated into these Terms by reference and form part of the agreement between us.
By accessing our website, registering for an account, submitting dealer credentials, placing an order, accepting an invoice, or purchasing products from us, you represent that you have read, understood, and agree to be legally bound by these Terms, including the binding arbitration and class-action waiver provisions in Section 25.
1. DEFINITIONS
For purposes of these Terms:
- "Buyer," "you," or "your" means the person or business entity that accesses our website, opens an account, requests a quotation, or places an order with US Locksmith & Supply, together with any employee, agent, or representative acting on that entity's behalf.
- "Products" means any goods, equipment, software, subscriptions, tokens, credits, services, or other items offered or sold by US Locksmith & Supply.
- "Order" means a request submitted by Buyer to purchase Products, whether placed through our website, by email, by telephone, or by purchase order.
- "Dealer Account" means an account approved by US Locksmith & Supply for professional or wholesale purchasing.
- "RMA" means a Return Merchandise Authorization issued by US Locksmith & Supply under our Return & Refund Policy.
- "Business Day" means Monday through Friday, excluding U.S. federal holidays and any holiday observed by US Locksmith & Supply and posted on our website.
2. BUSINESS-TO-BUSINESS SALES ONLY
US Locksmith & Supply is intended primarily for legitimate businesses and qualified automotive, locksmith, security, dealership, repair, resale, and related professional customers.
By creating an account or placing an Order, you represent and warrant that:
- You are purchasing for legitimate business or professional purposes.
- You are at least 18 years old and have authority to act on behalf of the business identified on your account.
- All information provided to US Locksmith & Supply is accurate and current, and you will update it promptly if it changes.
- You will use all Products only for lawful purposes.
- Where licensing, registration, certification, authorization, or other credentials are required by applicable law, you possess and will maintain those credentials, and you will provide evidence of them on request.
Certain professional, restricted, programming, diagnostic, key-generation, or security-related Products may require additional verification before an Order is approved or shipped.
US Locksmith & Supply reserves the right to request documentation including, without limitation:
- Locksmith license or registration (including, where applicable, California Bureau of Security and Investigative Services registration)
- Business license
- Seller's permit or resale certificate
- Federal Tax ID / EIN
- Automotive repair or dealership credentials
- Government-issued identification
- Business address verification
- National Automotive Service Task Force (NASTF) Vehicle Security Professional (VSP) credentials, where relevant to the Product
- Other documentation reasonably necessary to establish legitimate professional use
Approval of a Dealer Account does not guarantee approval of every future Order.
We may refuse, cancel, limit, hold, or review any transaction if we reasonably suspect fraud, unauthorized use, unlawful activity, inaccurate account information, misuse of professional tools, payment risk, or violation of these Terms.
3. AUTHORIZED AND LAWFUL USE
Locksmith tools, vehicle-entry tools, key programmers, immobilizer tools, diagnostic devices, key-cutting equipment, transponder equipment, and related Products are intended for lawful professional use only.
Buyer represents and warrants that any work performed using Products purchased from US Locksmith & Supply will be conducted only with proper authorization from the owner, lawful possessor, dealership, repair facility, insurance company, fleet operator, or other party legally authorized to request the work.
Products may not be purchased or used for theft, unauthorized vehicle access, unlawful immobilizer bypass, fraud, unauthorized duplication, circumvention of security systems, or any other unlawful purpose.
Buyer is solely responsible for understanding and complying with all federal, state, local, and international laws applicable to the purchase, possession, resale, export, and use of the Products, including any record-keeping obligations imposed on locksmiths or security professionals in Buyer's jurisdiction.
4. RESALE AND DOWNSTREAM COMPLIANCE
If Buyer resells any Product, Buyer agrees that:
- Buyer will resell restricted, professional, programming, diagnostic, key-generation, or security-related Products only to purchasers who hold any license, registration, or credential required by applicable law in the purchaser's jurisdiction, and Buyer will verify those credentials before completing the sale.
- Buyer will maintain reasonable records of such sales for the period required by applicable law.
- Buyer will not make representations about a Product's capabilities, coverage, warranty, or compatibility that exceed the manufacturer's published specifications or the information provided by US Locksmith & Supply.
- Buyer will pass through to its customers all applicable safety, warranty, licensing, and lawful-use requirements.
Buyer is not an agent, employee, franchisee, joint venturer, or legal representative of US Locksmith & Supply, and has no authority to bind or create obligations on behalf of US Locksmith & Supply.
5. DEALER ACCOUNTS
Dealer Accounts are issued at the discretion of US Locksmith & Supply.
You are responsible for maintaining the confidentiality of your account credentials and for all activity conducted through your account. You must promptly notify us if you suspect unauthorized access to your account.
Dealer pricing, discounts, promotions, credit terms, Product availability, purchasing limits, and account privileges may vary by customer and may be modified prospectively at our discretion.
Dealer Accounts and pricing privileges may not be transferred, shared, sold, or assigned without our written authorization.
Dealer pricing and cost information are confidential and are provided for Buyer's internal business use. Buyer agrees not to publish, distribute, or disclose dealer price lists to unauthorized third parties.
US Locksmith & Supply may suspend or terminate an account for violation of these Terms, suspicious activity, unpaid balances, payment disputes, fraudulent transactions, misuse of Products, or other legitimate business reasons.
6. PRODUCT INFORMATION & VEHICLE COMPATIBILITY
Automotive keys, remotes, smart keys, transponders, blades, modules, and related electronic Products may appear physically identical while using different internal electronics, software, frequencies, transponder types, part numbers, FCC IDs, board revisions, regional specifications, or vehicle configurations.
Appearance alone does not establish compatibility.
Product descriptions, fitment information, vehicle application data, compatibility charts, images, technical specifications, cross-reference numbers, and manufacturer information are provided as reference information and may be updated or corrected from time to time.
Before ordering, cutting, programming, unlocking, modifying, or installing any Product, Buyer is responsible for independently verifying all relevant specifications, including where applicable:
- Vehicle year, make, and model
- VIN
- OEM part number
- Manufacturer part number
- FCC ID
- IC number
- Frequency
- Transponder/chip type
- Button configuration
- Emergency blade
- Keyway
- Board or hardware revision
- Immobilizer system
- Regional specification
- Vehicle production date
- Programming requirements
When uncertainty exists, Buyer should contact US Locksmith & Supply before ordering or modifying the Product.
US Locksmith & Supply does not guarantee successful programming merely because a Product physically fits a vehicle or appears similar to an existing key or remote.
7. PROGRAMMING & TECHNICAL DISCLAIMER
Automotive programming and diagnostic procedures may depend on vehicle condition, software version, programmer compatibility, subscriptions, manufacturer servers, security credentials, PIN codes, network availability, firmware, immobilizer configuration, prior vehicle repairs, module condition, and technician experience.
Programming coverage advertised by a tool manufacturer may change through software or firmware updates.
US Locksmith & Supply does not guarantee that any programmer, diagnostic tool, key, remote, or accessory will successfully perform every advertised function on every vehicle. A Product that does not program successfully is not automatically considered defective.
Buyer assumes responsibility for:
- Verifying current tool coverage
- Following manufacturer procedures
- Maintaining required subscriptions or tokens
- Maintaining stable vehicle and equipment voltage
- Performing backups where appropriate
- Selecting the correct vehicle and system
- Ensuring proper technician training and authorization
Except to the extent liability cannot lawfully be excluded, US Locksmith & Supply is not responsible for programming errors, lost key data, corrupted modules, immobilizer problems, vehicle downtime, failed adaptations, incorrect PIN/security procedures, or other damage resulting from improper use, incorrect Product selection, unsupported procedures, or failure to follow manufacturer instructions.
8. THIRD-PARTY MANUFACTURERS, SOFTWARE & SERVICES
Many Products sold by US Locksmith & Supply are manufactured, licensed, supported, or operated by third parties.
Manufacturer software, mobile applications, cloud services, security gateways, subscriptions, tokens, firmware, server access, coverage databases, registration systems, and activation policies are controlled by the applicable third party and may change without notice.
US Locksmith & Supply is not responsible for a manufacturer's decision to modify vehicle coverage, subscription pricing, software functions, token requirements, server availability, activation requirements, regional restrictions, warranty procedures, product support, or discontinued functionality.
Manufacturer names, trademarks, vehicle brands, FCC IDs, OEM numbers, and part numbers may be referenced solely for Product identification or compatibility purposes. All third-party trademarks remain the property of their respective owners.
9. PRICING, AVAILABILITY & ORDER ACCEPTANCE
All prices are subject to change without notice before an Order is accepted.
Product availability is not guaranteed until the Order has been processed and accepted. An automated Order confirmation or payment authorization does not constitute final acceptance of an Order. An Order is accepted when we ship the Product or otherwise expressly confirm acceptance in writing.
US Locksmith & Supply reserves the right to cancel, limit, or refuse an Order before shipment for legitimate reasons, including pricing or typographical errors, incorrect Product information, inventory errors, suspected fraud, payment problems, credential verification issues, Product restrictions, duplicate Orders, or shipping limitations.
If an Order is canceled after payment has been collected, the applicable amount will be refunded to the original payment method unless another lawful arrangement has been agreed upon.
We reserve the right to correct pricing, description, inventory, technical specification, or website errors.
Buyer-Requested Cancellations. Buyer may request cancellation of an Order by contacting us before the Order has been prepared for shipment. We will use reasonable efforts to honor timely cancellation requests, but an Order that has already been packed, labeled, cut, programmed, specially ordered, or tendered to a carrier may not be cancelable. Cancellation of a special-order or manufacturer-direct Product after we have placed the corresponding order with our supplier may be subject to the restocking fee described in our Return & Refund Policy.
Backorders and Special Orders. If a Product is unavailable, we may place the item on backorder, ship the remainder of the Order, offer a substitute of equal or better specification, or cancel and refund the affected item. Estimated availability dates for backordered and special-order Products are estimates only and are not guaranteed.
10. TAXES & RESALE CERTIFICATES
Prices do not include applicable sales, use, excise, customs, duties, or similar taxes unless specifically stated.
Customers claiming exemption from sales tax are responsible for providing a valid and properly completed resale certificate or other acceptable exemption documentation. US Locksmith & Supply may verify resale or exemption information before granting tax-exempt purchasing privileges.
Buyer is responsible for the accuracy and lawful use of all tax-exemption documentation submitted to us. If valid exemption documentation is not provided or accepted, applicable taxes may be collected.
Buyer is responsible for any tax, interest, penalty, assessment, or other liability resulting from inaccurate, invalid, expired, fraudulent, or improperly used exemption documentation submitted by Buyer.
11. PAYMENT TERMS
Payment is due according to the terms displayed at checkout, on the applicable invoice, or under separately approved credit terms.
We may use third-party payment processors to process transactions securely.
Orders may be subject to fraud screening, address verification, identity verification, credential verification, or additional payment verification. US Locksmith & Supply may place an Order on hold until requested verification is completed.
Past-Due Amounts. Invoices not paid when due may accrue a late charge of 1.5% per month, or the maximum rate permitted by applicable law, whichever is less, calculated from the due date until paid.
Chargebacks. Buyer agrees not to initiate a chargeback or payment dispute in bad faith. Before initiating a chargeback, Buyer is encouraged to contact US Locksmith & Supply so we can attempt to resolve legitimate Order issues.
Returned checks, rejected ACH payments, reversed electronic payments, or chargebacks determined to have been submitted without a good-faith basis may result, where permitted by law, in a reasonable administrative fee of up to $30.00, in addition to any actual unpaid balance and lawful collection costs.
Accounts with unpaid balances or unresolved payment disputes may be suspended or terminated.
12. SHIPPING
Shipping is governed by our Shipping Policy, which is incorporated into these Terms by reference and covers order processing, free-shipping eligibility, carriers, delivery estimates, address accuracy, carrier fees, refused shipments, freight deliveries, and international shipments.
In the event of a conflict between these Terms and the Shipping Policy on a shipping matter, the Shipping Policy controls.
13. RISK OF LOSS & DELIVERY CLAIMS
Unless otherwise expressly agreed, shipments are made under a shipment contract. To the extent permitted by applicable law, risk of loss passes to Buyer when conforming goods are duly delivered by US Locksmith & Supply to the shipping carrier.
US Locksmith & Supply is not responsible for delays caused solely by the carrier, weather, natural disasters, incorrect addresses supplied by Buyer, inaccessible delivery locations, or other circumstances outside our reasonable control. Where appropriate, we will assist Buyer with a legitimate carrier claim.
Buyer should inspect delivered packages promptly. Reporting timeframes and the procedure for damaged, missing, wrong, or undelivered shipments are set out in our Shipping Policy.
14. INTERNATIONAL ORDERS
International Orders, if accepted, may be subject to import duties, customs charges, taxes, brokerage fees, licensing requirements, or other governmental charges.
Unless expressly stated otherwise, Buyer is responsible for all such charges and for determining whether the Products may lawfully be imported, possessed, used, or resold in the destination country.
US Locksmith & Supply is not responsible for Products delayed, held, refused, seized, or returned by customs or other governmental authorities when caused by Buyer's failure to comply with applicable import requirements.
15. RETURNS, RMAs & DEFECT CLAIMS
Returns are governed by our Return & Refund Policy, which is incorporated into these Terms by reference and covers the return window, RMA requirements and validity, return conditions, restocking fees, Final Sale and non-returnable Products, defect-claim procedures, and refund processing.
Buyer acknowledges that:
- No return may be sent to US Locksmith & Supply without a valid RMA. Packages received without an approved RMA may be refused or returned to Buyer at Buyer's expense.
- Issuance of an RMA does not guarantee that a refund or credit will be approved. Returned Products remain subject to inspection.
- Returned merchandise that does not qualify for a refund remains Buyer's property, and return shipment may be arranged at Buyer's expense.
In the event of a conflict between these Terms and the Return & Refund Policy on a returns matter, the Return & Refund Policy controls.
16. WARRANTIES & DISCLAIMER OF WARRANTIES
Any express warranty applicable to a Product will be limited to the warranty expressly stated by US Locksmith & Supply or the applicable manufacturer.
Except for any express written warranty specifically applicable to a Product, and to the maximum extent permitted by law, Products and services are provided "AS IS" and "AS AVAILABLE."
TO THE MAXIMUM EXTENT PERMITTED BY LAW, US LOCKSMITH & SUPPLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING THE IMPLIED WARRANTY OF MERCHANTABILITY, THE IMPLIED WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE, AND ANY IMPLIED WARRANTY ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE.
No employee, representative, website statement, email, telephone conversation, compatibility suggestion, or technical assistance creates a warranty unless expressly stated in writing as a warranty by an authorized representative of US Locksmith & Supply.
Nothing in these Terms excludes any warranty or legal right that cannot lawfully be excluded.
17. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, US LOCKSMITH & SUPPLY AND ITS OWNERS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATING TO THE PURCHASE, RESALE, INSTALLATION, PROGRAMMING, USE, MISUSE, OR INABILITY TO USE ANY PRODUCT.
THIS INCLUDES, WITHOUT LIMITATION: lost profits; lost revenue; lost business; lost data; vehicle downtime; towing costs; rental vehicle costs; lost customer revenue; lost key data; immobilizer problems; module programming failure; module corruption; business interruption; and third-party labor charges.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, US LOCKSMITH & SUPPLY'S AGGREGATE LIABILITY ARISING FROM A PRODUCT TRANSACTION SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID TO US FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM.
These limitations do not apply to liability that cannot lawfully be excluded or limited, including liability arising from fraud, willful misconduct, or other liability that applicable law prohibits us from disclaiming.
18. TIME LIMITATION ON CLAIMS
To the maximum extent permitted by applicable law, any claim or cause of action arising out of or relating to these Terms or to any purchase from US Locksmith & Supply must be commenced within one (1) year after the cause of action accrues, or it is permanently barred. This provision does not apply where applicable law prohibits shortening the limitations period.
19. INDEMNIFICATION
Buyer agrees, to the maximum extent permitted by law, to defend, indemnify, and hold harmless US Locksmith & Supply and its owners, officers, employees, agents, and affiliates from third-party claims, liabilities, losses, damages, judgments, costs, and reasonable attorneys' fees arising from or relating to:
- Buyer's unlawful use of a Product
- Unauthorized vehicle or property access
- Buyer's misuse or negligent use of a Product
- Buyer's modification of a Product
- Buyer's violation of applicable law
- Buyer's violation of these Terms
- Buyer's resale, installation, or professional services
- False or misleading representations made by Buyer to Buyer's customers
- Buyer's failure to obtain proper authorization before performing locksmith, programming, diagnostic, or security-related work
This indemnification obligation does not apply to the extent a claim is caused by US Locksmith & Supply's own fraud, willful misconduct, gross negligence where liability cannot lawfully be waived, or other conduct for which indemnification is prohibited by law.
20. TECHNICAL SUPPORT
Any technical information or support provided by US Locksmith & Supply is provided as a professional courtesy unless separately purchased as a paid service.
Technical support does not replace manufacturer service information, professional training, factory procedures, or independent technician judgment.
Buyer remains responsible for determining whether a procedure is appropriate for a particular vehicle or Product.
21. CALIFORNIA PROPOSITION 65
Certain Products may contain chemicals known to the State of California to cause cancer, birth defects, or other reproductive harm. Where applicable, a Proposition 65 warning will be provided on the product listing, on the Product, or with the shipment. Additional information is available at www.P65Warnings.ca.gov.
22. WEBSITE CONTENT & INTELLECTUAL PROPERTY
The US Locksmith & Supply website, including original text, graphics, product organization, logos, branding, photographs owned by us, database structure, and other proprietary content, may be protected by intellectual property laws.
Content owned by US Locksmith & Supply may not be reproduced, scraped, republished, commercially copied, or redistributed without authorization except as permitted by law.
Vehicle manufacturer names, OEM numbers, FCC IDs, trademarks, and third-party product names are used for identification and compatibility purposes where applicable and remain the property of their respective owners.
Product packaging, labeling, appearance, accessories, or manufacturer revisions may change without notice while remaining functionally equivalent to the Product ordered.
23. FRAUD PREVENTION & SECURITY
To protect US Locksmith & Supply, our customers, vehicle owners, and the public, we reserve the right to investigate suspicious transactions and request additional identity, business, licensing, payment, or authorization documentation.
Orders may be delayed or canceled when verification cannot be completed satisfactorily.
We may cooperate with financial institutions, payment processors, shipping carriers, manufacturers, or law-enforcement authorities when required or permitted by applicable law in connection with suspected fraud, theft, unlawful use, or other illegal activity.
24. EXPORT & RESALE COMPLIANCE
Buyer is responsible for complying with applicable export, re-export, sanctions, customs, licensing, and trade-control laws.
Buyer may not export, re-export, transfer, or use Products in violation of applicable law, and may not sell or ship Products to any party or destination subject to U.S. sanctions or embargo, or to any party on a U.S. government restricted-party list.
US Locksmith & Supply may refuse or cancel transactions that we reasonably believe would violate applicable trade restrictions or legal requirements.
25. DISPUTE RESOLUTION, BINDING ARBITRATION & CLASS-ACTION WAIVER
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.
A. Informal Resolution First. Before initiating arbitration, the parties agree to attempt in good faith to resolve any dispute informally for at least thirty (30) days after written notice of the dispute is sent to the other party at the address in Section 31.
B. Binding Arbitration. If the dispute is not resolved informally, any dispute, claim, or controversy arising out of or relating to these Terms, our website, a Dealer Account, or any purchase from US Locksmith & Supply shall be resolved by final and binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator, seated in Riverside County, California, and conducted in the English language. Judgment on the award may be entered in any court of competent jurisdiction. The Federal Arbitration Act governs the interpretation and enforcement of this Section.
C. Class-Action Waiver. To the maximum extent permitted by law, all claims must be brought in the parties' individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding. If this class-action waiver is found unenforceable as to a particular claim, that claim shall be severed and litigated in court under Section 26, while all other claims remain in arbitration.
D. Exceptions. Either party may (i) bring an individual claim in small-claims court if it qualifies, and (ii) seek injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property rights, confidential information, or to prevent unauthorized or unlawful use of Products.
E. 30-Day Opt-Out. Buyer may opt out of this arbitration and class-action waiver provision by sending written notice to uslocksmithsupply@gmail.com, with the subject line "Arbitration Opt-Out," within thirty (30) days after first accepting these Terms. The notice must include Buyer's name, business name, account email, and a clear statement of intent to opt out. Opting out will not affect any other provision of these Terms or Buyer's account standing.
26. GOVERNING LAW & VENUE
These Terms and any transaction with US Locksmith & Supply shall be governed by the laws of the State of California, without regard to conflict-of-law principles, except where federal law controls. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
For any dispute not subject to arbitration under Section 25, and unless applicable law requires otherwise, Buyer agrees that legal proceedings shall be brought exclusively in a court of competent jurisdiction located in Riverside County, California, or the applicable federal court serving that area, and the parties consent to personal jurisdiction and venue in those courts.
27. ATTORNEYS' FEES
In any arbitration, action, or proceeding brought to enforce or interpret these Terms, or to collect amounts owed to US Locksmith & Supply, the prevailing party shall be entitled to recover its reasonable attorneys' fees, expert fees, and costs, in addition to any other relief awarded, to the extent permitted by applicable law.
28. NOTICES & ELECTRONIC COMMUNICATIONS
Buyer consents to receive notices, agreements, disclosures, and other communications from US Locksmith & Supply electronically, including by email to the address on Buyer's account, and agrees that such electronic communications satisfy any legal requirement that a communication be in writing.
Notices to US Locksmith & Supply must be sent to the email or mailing address listed in Section 31 and are effective upon receipt.
Buyer is responsible for keeping its email address and contact information current.
29. ASSIGNMENT; RELATIONSHIP OF THE PARTIES; SURVIVAL
Buyer may not assign or transfer these Terms, or any rights or obligations under them, without our prior written consent. Any attempted assignment without consent is void. US Locksmith & Supply may assign these Terms in connection with a merger, acquisition, reorganization, or sale of substantially all of its assets.
Nothing in these Terms creates a partnership, joint venture, agency, franchise, or employment relationship between the parties.
Sections that by their nature should survive termination — including Sections 3, 4, 10, 11, and 16 through 30 — survive termination or expiration of these Terms.
30. SEVERABILITY; NO WAIVER; FORCE MAJEURE; ENTIRE AGREEMENT
Severability. If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision shall be enforced to the maximum extent permitted by law and the remaining provisions shall remain in full force and effect.
No Waiver. Failure by US Locksmith & Supply to enforce any provision of these Terms on one occasion does not constitute a waiver of that provision or our right to enforce it in the future.
Force Majeure. US Locksmith & Supply will not be responsible for delays or failure to perform caused by events beyond our reasonable control, including natural disasters, severe weather, carrier disruptions, labor disputes, war, terrorism, civil disturbances, governmental actions, customs delays, manufacturer shortages, supply-chain interruptions, internet outages, cyber incidents, utility failures, or third-party service interruptions.
Entire Agreement & Purchase Orders. These Terms, together with the applicable invoice, product listing, accepted quotation, Privacy Policy, Shipping Policy, Return & Refund Policy, and any separately signed written agreement, constitute the entire agreement governing purchases from US Locksmith & Supply and supersede all prior or contemporaneous understandings on the subject. Any additional or conflicting terms contained in a Buyer-issued purchase order, vendor form, acknowledgment, or other document will not modify these Terms unless expressly accepted in writing by an authorized representative of US Locksmith & Supply.
Changes to These Terms. US Locksmith & Supply may update these Terms from time to time. The version in effect when an Order is placed will generally govern that transaction unless a change is required by law or the parties otherwise agree in writing. Updated Terms will be posted with a revised "Last Updated" date. Continued use of our website or placement of future Orders after revised Terms become effective constitutes acceptance of the revised Terms for future transactions.
